Biography
Kelly R. Berg is Counsel at Tuthill & Hughes LLP. Kelly regularly serves in the capacity of outside tax and corporate counsel for nonprofit organizations, including public charities, private foundations, community foundations, institutional foundations, private operating foundations and charitable trusts. She advises clients on a day-to-day basis about a wide range of nonprofit tax and corporate issues, including governance, planned giving, UPMIFA, unrelated business income tax, intermediate sanctions, self-dealing, termination of private foundation status through mergers or through operation as public charities, and issues relating to donor advised funds and supporting organizations. She also represents clients in tax controversy matters at the federal and state level, and assists clients in obtaining IRS rulings.
Although her practice now focuses on the corporate and tax issues affecting nonprofit organizations, Kelly has extensive experience in all aspects of tax law, including estate and gift tax, income tax, corporate tax and partnership tax.
