Biography

Kelly R. Berg is a partner of Tuthill & Hughes LLP. Ms. Berg regularly serves in the capacity of outside tax and corporate counsel for nonprofit organizations, including public charities, private foundations, community foundations, institutional foundations, private operating foundations and charitable trusts.  She advises clients on a wide range of nonprofit tax and corporate issues, including governance, planned giving, UPMIFA, unrelated business income tax, intermediate sanctions, self-dealing, termination of private foundation status through mergers or through operation as public charities, and issues relating to donor advised funds and supporting organizations.  She also represents clients in tax controversy matters at the federal and state level, and assists clients in obtaining IRS rulings.

In addition to advising nonprofit organizations, Ms. Berg regularly advises individuals, estates and trusts with respect to tax and fiduciary issues. She is also a frequent conference speaker.
